Licensing Terms & Conditions

A. Kloudify Technologies (“the Company”) is an authorised reseller of Microsoft subscriptions. B. The Customer intends to purchase Microsoft subscriptions through the Company. C. The Company agrees to supply these subscriptions under the terms outlined below.

By proceeding, both parties acknowledge and agree to the following terms.

Annual Commitment Licences

• Annual commitment licences cannot be cancelled or reduced during the 12-month term.
• Pricing is locked for the full term and will not fluctuate.
• Customers on annual or multi-year terms must retain all licences until the end of the agreed period.

Monthly Commitment Licences

• Monthly commitment licences may be reduced or cancelled at the end of each billing month.
• Pricing for monthly commitments may change based on Microsoft’s pricing adjustments or other business conditions.
• The Company will provide at least 30 days’ notice of any pricing changes.

Alignment to Subscription End Date

Adding new licences does not reset or extend the subscription term. All newly added licences align with the existing subscription’s end date.

CSP Billing Logic

• Licences added before the 25th of the month are charged the full monthly amount on the next invoice.
• Licences added on or after the 26th will be charged from the next billing cycle only

Early Cancellation Fees (Annual Commitment on Monthly Billing)

If on a monthly billing plan with an annual commitment:

• Cancelling mid-term triggers payment of the remaining balance of the annual term.
• Example: A licence purchased in January on a 12-month annual commitment and cancelled in June will incur charges for the remaining six months.

• Invoices are issued for the full month on the 1st of each month.
• Some subscriptions may expire mid-month; Kloudify is not responsible for unused portions beyond the vendor’s expiry date.
• Payment is due within 7 days of the invoice date unless otherwise agreed.
• A $25 (ex GST) late payment fee applies if payment is not received by the due date.
• Direct debit is the default and preferred payment method, and customers are required to opt in to proceed.
• All prices are in AUD, exclusive of GST, freight, and configuration charges.
• Pricing is subject to change without notice based on vendor price adjustments or currency fluctuations.
• Quoted pricing is not combinable with any other offer, and bundle pricing may change if components or quantities are modified.

To ensure uninterrupted service:

1. Renewal Notification – Kloudify will email renewal details. If no response is received within 7 days, auto-renewal will proceed.
2. Automatic Renewal – Subscriptions renew under a monthly commitment by default unless otherwise arranged.
3. Modification or Cancellation – Customers must respond to the renewal email or contact license@kloudify.com before the renewal window closes.
   1. Changes requested outside this window may incur cancellation fees.

• Freight costs are based on standard road delivery.
• Air freight or special delivery options incur additional charges.

• This quotation is valid only for the named Customer and for one end user unless separate quotes are requested.
• All trademarks, brand names, and product names remain the property of their respective owners.
• Quoted items are correct at the time of publishing. Errors, omissions, and vendor withdrawals are excluded; Kloudify is not liable for vendor discontinuations.
• All goods and services are supplied in accordance with Kloudify’s Master Services Agreement, available on our website.

This Agreement is governed by the laws of New South Wales, Australia.

This Agreement supersedes all prior communications or arrangements relating to Microsoft subscription services.

Any amendments must be in writing and signed by both parties.
